  1. General

1.1 We reserve the right to change these terms and conditions at any time. If any such changes will take effect from when they are posted on the website, and it is your responsibility to read the terms and conditions on each occasion that you use this website. Your continued use of the website shall signify your acceptance to be bound by the latest terms and conditions.

1.2 If you are not a consumer, you confirm that you have authority to bind any business on whose behalf you use this website.

1.3 Wholesale customers must order every season, both Spring/Summer and Autumn/Winter to keep their account with One Hundred Stars (OHSE) open. If a season passes, then OHSE have the right to close the account and open another account in the area. Every season OHSE has several ‘ranges’. Wholesale customers must order a minimum of €700 per range. If a range is not ordered, OHSE reserves the right to sell this range / these ranges to another retailer.

 

  1. Order Process

2.1 All orders that you place on this website will be subject to acceptance in accordance with these terms and conditions. 

Your order for goods is accepted and a contract is formed between OHSE and you when we despatch the goods you have ordered and not before.

2.2 A contract is not formed at the point in time that payment has been taken from you by OHS, nor at the point in time that you receive an email from OHSE acknowledging receipt of your order.  Until the goods are despatched the order may not be accepted by OHSE, or may be cancelled by you. Exceptions apply to orders for personalised items and goods made to your order which cannot be cancelled by you once you have received an email confirmation that your order has been received, as such items and goods may already be in production as a result of your order. We reserve the right to cancel or change any order after submission. 

 

  1. Delivery

Delivery charges and estimated timescales are specified when you place an order. We make every effort to deliver goods within the estimated timescales; however delays are occasionally inevitable due to unforeseen factors. OHSE shall be under no liability for any delay or failure to deliver the products within estimated timescales.

 

  1. Payment

4.1 We will refund any payment made from your card in the unlikely event that goods are unavailable or if we are unable to fulfil your order. Goods are subject to availability. If we are unable to supply the goods, we will inform you of this as soon as possible.

4.2 Wholesale orders need to be paid at time of ordering, or via a pre-arranged 30-day credit account.  Please contact us for more details or to apply.

4.3 All wholesale prices quoted on the website exclude VAT (where applicable) and will be added at the applicable current rates prior to checkout.

4.4 Prices exclude delivery charges which will be calculated prior to Checkout.  Prices are inclusive of all duties for importing into the EU.  All other taxes and duties are the responsibility of yourself and payable to the courier.

4.5 A handling fee of €50 will be charged where a wholesale order is returned because of refusal to pay the courier the charges resulting in the goods being returned to our warehouse.

4.4  Bank Transfers and Pay in 30 days Credit Terms are not regulated by the FCA.

 

  1. Returns, Cancellations and Substitutions

5.1  We do not offer a free returns service, any costs incurred to return unwanted goods are payable by you.

5.2  Please contact europe@onehundredstars.co.uk if you have any issues with the goods supplied, returns, cancellations, or substitution queries.

5.3 All sizes, measurements and colour replication on images are as accurate as possible but there may be some variation.

 

  1. Intellectual Property

6.1 You acknowledge and agree that all copyright, trademarks, and all other intellectual property rights in all materials and/or content made available as part of your use of this website shall remain at all times vested in us. You are permitted to use this material only as expressly authorised by us. The content of this website (including without limitation any text, video, audio, audio-visual materials, and graphics) may not be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means without our prior written consent, except as stated below.

6.2 You acknowledge and agree that the material and content contained within this website is made available for your own personal and non-commercial use and that you may only download such material and content for the purpose of using this website. 7.2 Subject to Section 7.1 above, OHSE will use reasonable endeavours to verify the accuracy of any information on the site but makes no representation or warranty of any kind (whether express or implied statutory or otherwise) regarding the contents or availability of the site or that it will be timely or error-free, that defects will be corrected, or that the site or the server from which it is made available are free of viruses or bugs or represents the full functionality, accuracy, reliability of the website OHSE will not be responsible or liable to you for any loss of content or material uploaded or transmitted through the website and OHSE accepts no liability of any kind for any loss or damage from action taken or taken in reliance on material or information contained on the site.

7.3 We will take all reasonable precautions to keep the details of your order and payment secure, but, unless we are negligent, we cannot be held liable for any losses caused because of unauthorised access to information provided by you.

7.4. OHSE will take every step possible to ensure accurate prices are shown on the site. We reserve the right to change pricing at any time until the order has been confirmed when your order is dispatched. Acceptance or acknowledgement of your payment does not confirm your order. This refers to Wholesale orders and prices ONLY.
